End User License Agreement (EULA) — Colourlab Ai

This End User License Agreement ("Agreement") is a legal contract between you ("you", "User", or "Licensee") and Color Intelligence Inc., a Delaware corporation ("Color Intelligence", "we", "us", or "our"), governing your use of the Colourlab Ai software application, including Colourlab Ai 4 and any related desktop, mobile, and companion components (collectively, the "Software").

BY INSTALLING, ACTIVATING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

1. Definitions

  • "Software" means Colourlab Ai, including Colourlab Ai 4, the PIA Engine, supporting libraries, plug-ins, documentation, and any updates we make available.
  • "PIA Engine" means Color Intelligence's proprietary perceptual image analysis engine and its associated algorithms, models, and color science.
  • "X03 / XOM Format" means Color Intelligence's proprietary file format for color grading references, including its file structure, embeddings, metadata schema, and LUT representation.
  • "Subscription" means a paid, time-limited right to use the Software under this Agreement.
  • "Activation" means installing and authorizing a copy of the Software on a single device using your license credentials.

2. License Grant

Subject to your compliance with this Agreement and payment of all applicable fees, Color Intelligence grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license, during the term of your Subscription, to:

(a) install and activate the Software on up to two (2) devices that you own or control; and (b) use the Software for your own professional or personal color grading work.

Use beyond two devices, or by anyone other than you, requires additional licenses.

3. Subscription, Fees, and Renewal

3.1 Subscription term. The Software is licensed on a subscription basis. Your subscription term, fees, and renewal cadence (monthly or annual) are shown at the time of purchase.

3.2 Auto-renewal. Subscriptions automatically renew at the then-current rate at the end of each term unless you cancel before the renewal date through your account or by contacting us.

3.3 Price changes. We may change subscription prices for future renewal terms with reasonable advance notice. Price changes do not affect a paid term already in progress.

3.4 Taxes. Fees are exclusive of taxes, which are your responsibility where applicable.

4. Refunds and Cancellation

4.1 14-day refund. You may request a full refund within fourteen (14) days of your initial purchase of a new subscription. Renewals are not eligible for refund.

4.2 How to cancel. You may cancel at any time through your account or by contacting help@colourlab.ai. Cancellation stops future renewals; it does not entitle you to a refund of the current term except as provided in Section 4.1 or as required by applicable law.

4.3 Effect of cancellation. On cancellation, your license remains active until the end of the paid term, after which the Software will deactivate.

5. Activation and License Management

5.1 The Software requires online activation. You may deactivate a device through your account and move your license to another device, subject to reasonable use limits.

5.2 You are responsible for keeping your account credentials secure and for all activity under your account.

6. Restrictions

You may not, and may not permit any third party to:

(a) copy, modify, or create derivative works of the Software except as expressly permitted by this Agreement;

(b) reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, algorithms, model weights, training data, or internal structure of the Software, including (without limitation) the PIA Engine and the X03 / XOM Format, except to the limited extent applicable law expressly prohibits this restriction;

(c) extract, replicate, reimplement, or otherwise create a substitute for the PIA Engine, its underlying color science, or the X03 / XOM Format in any other product or service;

(d) circumvent or attempt to circumvent any license enforcement, activation, watermarking, or technical protection mechanism;

(e) rent, lease, lend, sell, sublicense, distribute, time-share, host, or provide the Software as a service to third parties;

(f) remove, alter, or obscure any proprietary notices, marks, or labels in the Software;

(g) use the Software, or any output of the Software, to develop a competing product, train a competing model, or for benchmarking, without our prior written consent;

(h) use the Software in violation of applicable law, including export-control and sanctions laws.

7. Ownership

7.1 Software and IP. The Software is licensed, not sold. Color Intelligence and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than those expressly stated in this Agreement.

7.2 Patents and proprietary technology. The Software incorporates technologies protected by patents, patent applications, trade secrets, and other proprietary rights, including the PIA Engine and the X03 / XOM Format.

8. Your Content

8.1 You own your content. You retain all right, title, and interest in and to:

(a) any media you import, process, or output using the Software (including footage, stills, audio, and projects); (b) any color grades, looks, LUTs, references, presets, or other creative output you produce using the Software; and (c) any AI-generated output produced by the Software on your content.

8.2 No license to your content. Color Intelligence does not acquire any ownership of, or license to, your content by virtue of your use of the Software.

8.3 No data collection from your work. The Software does not transmit your frames, grades, prompts, references, project data, or other creative content to Color Intelligence for any purpose. We do not use your content to train, fine-tune, or improve our models.

9. Telemetry and Crash Reporting

9.1 The Software uses a third-party error-monitoring service (currently Sentry) to collect crash reports and diagnostic information when the Software encounters errors. This information is limited to technical data needed to diagnose and fix defects — such as stack traces, application state, operating system, and hardware information — and does not include your media content, grades, or projects.

9.2 The handling of this data is described in our Privacy Policy at https://4.colourlab.ai/privacy (opens in a new tab). By using the Software, you consent to this collection.

10. Updates

10.1 We may, at our discretion, release updates, patches, and new versions of the Software during your subscription term. These are provided as part of your subscription and are subject to this Agreement.

10.2 Some updates may be required for continued use of the Software, including for security, licensing, or compatibility reasons.

11. Third-Party and Open Source Components

The Software includes certain third-party and open source components. Those components are licensed under their respective terms, which are made available in a separate Notices and Open Source Licenses document accompanying the Software. To the extent of any conflict between this Agreement and an applicable open source license with respect to a specific component, the open source license controls for that component.

12. Beta and Pre-Release Software

From time to time we may make pre-release, alpha, or beta versions of the Software, or specific features, available to you. Those releases are governed by a separate Beta Software Addendum and are not covered by the general license grant or warranties in this Agreement except as expressly stated in that addendum.

13. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLOR INTELLIGENCE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED, NOR DO WE WARRANT ANY SPECIFIC RESULT FROM USE OF THE SOFTWARE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLOR INTELLIGENCE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO COLOR INTELLIGENCE FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, AND (B) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the above exclusions and limitations apply only to the extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Color Intelligence, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Software in breach of this Agreement, (b) your content, or (c) your violation of any law or third-party right.

16. Termination

16.1 By you. You may terminate this Agreement at any time by canceling your subscription and uninstalling the Software.

16.2 By us. We may suspend or terminate your license and this Agreement, immediately and without refund, if you (a) materially breach this Agreement (including Section 6, Restrictions), (b) fail to pay fees when due, (c) attempt to reverse engineer or reimplement the PIA Engine or the X03 / XOM Format, or (d) use the Software in a manner that poses a security, legal, or reputational risk to Color Intelligence.

16.3 Effect of termination. On termination, your right to use the Software ends immediately and you must uninstall all copies. Sections that by their nature should survive termination — including Sections 6, 7, 8, 13, 14, 15, 16.3, and 17 — will survive.

17. Governing Law and Disputes

This Agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to this Agreement is the state and federal courts located in Delaware county, and the parties consent to the personal jurisdiction of those courts.

18. Export Compliance

You may not export, re-export, or use the Software in violation of US export-control laws or sanctions regulations, or in any country or to any party subject to such restrictions.

19. General

19.1 Entire Agreement. This Agreement, together with any documents it references (including the Privacy Policy, Notices and Open Source Licenses, and Beta Software Addendum), is the entire agreement between you and Color Intelligence regarding the Software, and supersedes all prior agreements.

19.2 Modifications. We may modify this Agreement from time to time. Material changes will be communicated through the Software or by email. Your continued use of the Software after the effective date of a change constitutes acceptance of the updated Agreement.

19.3 Assignment. You may not assign this Agreement without our prior written consent. We may assign this Agreement to an affiliate or in connection with a merger, acquisition, financing, or sale of assets.

19.4 Severability. If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

19.5 No waiver. No failure or delay in exercising any right under this Agreement is a waiver of that right.

19.6 Notices. Notices to Color Intelligence should be sent to help@colourlab.ai. Notices to you may be given by email or through the Software.
