Beta Software Addendum — Colourlab Ai

This Beta Software Addendum ("Addendum") is incorporated into and forms part of the Colourlab Ai End User License Agreement ("EULA") between you ("you" or "Beta Tester") and Color Intelligence Inc. ("Color Intelligence"). It applies whenever Color Intelligence makes pre-release, alpha, or beta versions of the Software available to you (the "Beta Software").

In the event of a conflict between this Addendum and the EULA with respect to Beta Software, this Addendum controls.

1. Nature of Beta Software

1.1 The Beta Software is pre-release and is provided to you for the purpose of evaluation, testing, and feedback. It is not a final product and may contain defects, errors, and incomplete features. It may not perform as intended and may corrupt or lose data.

1.2 You acknowledge that the Beta Software is provided on an "AS IS" basis without any warranty of any kind, and that all disclaimers and liability limitations in the EULA (Sections 13 and 14) apply in full to the Beta Software.

2. No Fee; No Entitlement to Future Free Use

2.1 Color Intelligence makes the Beta Software available to you free of charge for the duration of the beta program.

2.2 Your participation in the beta program does not grant you any right to receive the Software, any successor version, or any other Color Intelligence product or service free of charge, at a discount, or at any specific price after the beta program ends. Any continued use of the Software after the beta program requires a paid subscription on the terms then in effect.

3. Term and Termination of Beta Access

3.1 The beta program lasts for as long as Color Intelligence chooses to operate it. Color Intelligence may end the beta program, or terminate your access to it, at any time, for any reason or no reason, with or without notice, and without any liability, refund, or compensation obligation.

3.2 When the beta program ends, the Beta Software may stop functioning. You are solely responsible for migrating, exporting, or backing up any work product before that occurs.

4. Your Work Product

4.1 Consistent with Section 8 of the EULA, you retain all right, title, and interest in and to:

(a) any media you import, process, or output using the Beta Software; (b) any color grades, looks, LUTs, references, presets, or other creative output you produce using the Beta Software; and (c) any AI-generated output produced by the Beta Software on your content.

4.2 You may use the Beta Software in your professional work, and you may publish, distribute, and commercialize the exported output of the Beta Software — including graded footage and delivered projects — on the same basis as if you were using the released Software, subject only to the confidentiality obligations in Section 6.

5. Feedback

5.1 You may, at your option, provide Color Intelligence with bug reports, suggestions, comments, feature requests, ideas, observations, and other feedback regarding the Beta Software (collectively, "Feedback").

5.2 You hereby grant Color Intelligence a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, distribute, and otherwise exploit your Feedback for any purpose, including incorporating it into the Software or any other Color Intelligence product, without any obligation of compensation, attribution, or accounting to you.

5.3 Feedback is provided voluntarily. You are not required to provide Feedback as a condition of access, but Color Intelligence may consider the quality and quantity of your Feedback in offering the discretionary benefits described in Section 7.

6. Confidentiality

6.1 The Beta Software — including its user interface, features, screens, performance characteristics, known defects, roadmap information, and any other non-public information you observe about it — is Confidential Information of Color Intelligence.

6.2 You agree not to publicly disclose, publish, post, stream, present, or otherwise share with any third party:

(a) screenshots, screen recordings, or any other visual capture of the Beta Software's user interface; (b) descriptions of unreleased features, workflows, or performance results; (c) benchmarks or comparisons involving the Beta Software; or (d) any technical details about the Beta Software not already made public by Color Intelligence.

6.3 For clarity, the exported output of the Beta Software — graded footage, rendered files, and delivered projects — is not Confidential Information, and you are free to publish, distribute, and commercialize that output as provided in Section 4.2.

6.4 Confidentiality obligations under this Section survive the end of your participation in the beta program until the Beta Software (or the relevant feature) becomes publicly released by Color Intelligence.

7. Discretionary Recognition

7.1 Color Intelligence may, at its sole and absolute discretion, offer beta testers special pricing, early-access offers, credits, or other benefits, based on factors that may include the quality and quantity of Feedback contributed, level of engagement, professional standing, or any other criteria Color Intelligence chooses.

7.2 Nothing in this Addendum or in the operation of the beta program creates any entitlement to such benefits. Any benefits offered are a gesture of appreciation, are not consideration owed for participation or Feedback, and may be modified or withdrawn by Color Intelligence at any time.

8. Data and Telemetry During Beta

8.1 The crash reporting and telemetry provisions of EULA Section 9 apply during the beta program. Color Intelligence may, in addition, enable additional diagnostic logging during beta to help identify and fix defects. Such additional logging will not include your media content, grades, prompts, or projects.

9. Restrictions

In addition to the restrictions in EULA Section 6, you agree not to:

(a) circumvent any time-limit, license-expiry, or kill-switch mechanism in the Beta Software; (b) provide Beta Software access or credentials to any third party who has not separately accepted this Addendum; (c) use the Beta Software in any production deliverable where the failure of the Beta Software would cause material harm to a client, third party, or yourself for which Color Intelligence could be held responsible.

10. Relationship to the EULA

Except as expressly modified by this Addendum, all terms of the EULA apply to the Beta Software, including Sections 6 (Restrictions), 7 (Ownership), 13 (Disclaimer of Warranties), 14 (Limitation of Liability), 15 (Indemnification), 16 (Termination), and 17 (Governing Law and Disputes).
